Governance and leadership

Mouchel’s policy on sustainability is determined by its Executive Management Board (EMB), led by the chief executive and supported by a leadership team of 20 senior managers, who collectively assess key issues that influence day-to-day activities across the Group. This Group is guided and informed on sustainability matters by a steering committee, which includes representatives from across the business. The committee is responsible for understanding the needs and expectations stakeholders, for setting realistic standards of achievement and for coordinating the Group’s overall approach to sustainability.

Governance

FRC Financial Reporting CouncilThe Group seeks to operate to a high standard of Corporate Governance. In pursuit of such standards, the Directors robustly adopt a governance approach that currently complies with all of the provisions of the 2010 UK Code on Corporate Governance (the Code). The Board applied all of the principles and provisions of the Code throughout the year ended 31 July 2011. Where practicable, the Directors seek to comply with guidelines issued by institutional investors and their representative bodies. A copy of the Code is available at www.frc.org.uk.

The identification, assessment and mitigation of strategic and operational risks are essential components of day-to-day management in Mouchel and there are well-defined risk management procedures to support this process. The Executive Management Board is responsible for assessing strategic risks to the business and for maintaining a risk register that details suitable and sufficient measures to control each area of risk and uncertainty. The risk environment varies considerably across the business according to the nature of the work Mouchel does and the industries in which it operates; but this approach ensures that Mouchel maintains a sound understanding of the environment in each sector.

Mouchel’s sustainability policy reflects the wider considerations of its health, safety and environmental policies, its policies on diversity, equality, ethics, professional conduct, whistle-blowing, data protection, fraud, community engagement and charity support.

The Group’s policies and procedures are regularly audited by Lloyds Register Quality Assurance (LRQA) and its management systems are accredited under ISO 9001, ISO 14001 and OHSAS 18001 for quality, environmental and health and safety management respectively.
